Project Overview: A & F VENTUREZ is a comprehensive business management system that includes multiple integrated modules designed to streamline your business operations. The system covers Payroll Management, Employee Onboarding, Rate Card Management, Vehicle Management, DSP (Delivery Service Partner) Payroll, EDSP (Enhanced Delivery Service Partner) Payroll, and Document Management systems.
Scope of Services: We provide end-to-end development and implementation services for all specified modules. Our deliverables include system integration, comprehensive testing, user training, detailed documentation, and post-deployment support. We ensure that each module is fully functional and meets your business requirements.
Client Responsibilities: Clients are expected to provide timely access to required information, assign key stakeholders for decision-making, review and approve deliverables within agreed timelines, provide necessary infrastructure and system access, and ensure timely payment as per the agreed schedule.
Payment Terms: Our payment structure follows a milestone-based approach aligned with project deliverables. Payment is due within the specified number of days from invoice date. Late payments may incur penalties as outlined in the detailed service agreement. All pricing and payment schedules will be mutually agreed upon before project commencement.
Data Security and Confidentiality: We implement industry-standard security measures including encryption, firewalls, and secure access controls to protect your information. Both parties agree to maintain strict confidentiality of sensitive business information, proprietary data, and business processes. Our systems comply with applicable data protection regulations including GDPR and local privacy laws.
Support and Maintenance: We provide a warranty period of post-deployment support that includes bug fixes and critical updates. After the warranty period, we offer Annual Maintenance Contracts (AMC) with defined Service Level Agreements (SLA) for support response times, regular updates, and system upgrades to keep your system current and secure.
Intellectual Property: The ownership of source code, customizations, and modifications will be clearly defined in the detailed service agreement. License terms for system usage, rights to future enhancements, and any third-party component licenses will be documented and mutually agreed upon.
Change Management: Any changes to the project scope must follow a formal change request procedure. We will provide impact assessments on timeline and cost for all requested changes. All scope changes require proper documentation and approval from authorized stakeholders before implementation.
Testing and Acceptance: We follow rigorous User Acceptance Testing (UAT) procedures with clearly defined acceptance criteria for each module. Our defect resolution process ensures all issues are tracked and resolved promptly. Module sign-off requires formal approval from designated client representatives.
Compliance and Legal: Our systems adhere to all applicable labor laws for payroll processing, tax compliance requirements, and industry-specific regulations. We maintain comprehensive audit trails for all system transactions and activities to support compliance requirements and internal audits.
Limitation of Liability: Both parties agree to limitation of liability clauses, indemnification terms, and force majeure provisions as detailed in the comprehensive service agreement. Any disputes will be resolved through the agreed-upon dispute resolution mechanism and under the governing law of the specified jurisdiction.
Termination: Either party may terminate this agreement under specific conditions outlined in the detailed contract. Termination requires appropriate notice period and settlement of all payment obligations. Proper handover procedures will be followed to ensure business continuity and data integrity.
Amendments and Updates: These terms and conditions may be amended from time to time with mutual consent.
